01 Nature of Relationship & Entity Structure ▼

EIDDI Solutions LLC (the "Company") is the sole contracting and billing entity for all service verticals operating under the EIDDI brand. These Terms of Service apply to all clients engaging EIDDI Solutions LLC for services across any vertical, including:

  • EIDDI Dispatch — Freight dispatch consulting (eiddidispatch.com). Clients are independent owner-operators and licensed motor carriers.
  • EIDDI IT — Managed IT and network infrastructure services (eiddi.co). Clients are businesses requiring technology solutions.
  • Any future service verticals introduced under EIDDI Solutions LLC.

Each vertical may maintain supplemental service-specific terms. In the event of a conflict, the supplemental vertical terms govern for that specific service engagement. These General Terms apply to all matters not addressed by vertical-specific terms.

02 Service Fees & Payment Terms ▼

Clients agree to pay EIDDI Solutions LLC the fees agreed upon during onboarding or as specified in the applicable service agreement. All fees are quoted and invoiced in United States Dollars (USD) and processed through secure, authorized payment channels.

Dispatch ServicesWeekly invoicing; percentage of gross load revenue or negotiated flat rate. Payable upon receipt.
IT & Managed ServicesProject-based, milestone-based, or monthly retainer as agreed. Invoiced per schedule in the service agreement.
Late PaymentEIDDI Solutions LLC reserves the right to suspend services on accounts with overdue balances exceeding 14 calendar days past the due date.

03 Acceptable Use & Client Obligations ▼

By engaging EIDDI Solutions LLC, all clients agree to:

  • Provide accurate, complete, and up-to-date information during onboarding and throughout the service relationship
  • Comply with all applicable U.S. federal, state, and local laws relevant to their business and industry
  • Settle all invoices within the agreed billing cycle
  • Not use EIDDI services for any illegal, fraudulent, deceptive, or unauthorized activity
  • Not misrepresent their credentials, authority, or capacity to any broker, shipper, or third party in connection with EIDDI services

Prohibited: Violation of these obligations will result in immediate service termination and may result in legal action to recover losses incurred by EIDDI Solutions LLC.

04 Service Termination ▼

Client cancellation terms, notice periods, and the effect of cancellation on outstanding balances are governed by the Refund & Cancellation Policy, which is incorporated into this Agreement by reference.

  • Immediate termination by EIDDI: EIDDI Solutions LLC reserves the right to terminate any service agreement immediately, without notice, in cases of non-payment exceeding 30 days, fraudulent activity, material breach, or conduct that threatens EIDDI's reputation or legal standing.
05 Limitation of Liability ▼

EIDDI Solutions LLC's total liability to any client, under any claim arising from these Terms or any service agreement, shall not exceed the total fees paid in the 30-day period immediately preceding the claim. EIDDI Solutions LLC is not liable for indirect, incidental, consequential, or punitive damages, including loss of business, loss of data, or third-party failures.

06 Intellectual Property ▼

All content, branding, website materials, documentation, and proprietary processes developed by EIDDI Solutions LLC remain its exclusive intellectual property unless explicitly transferred in writing.

For custom software, platforms, or digital deliverables developed under an IT engagement: full IP ownership is transferred to the client upon receipt of final payment, as specified in the applicable project agreement.

07 Dispute Resolution ▼

Disputes shall follow good-faith direct resolution before formal proceedings. Unresolved disputes are subject to the exclusive jurisdiction of St. Petersburg, Florida under the laws of the State of Florida, USA.
